TERMS AND CONDITIONS
BINI VERSE AND CHORUS
PHASE 1
1. DEFINITIONS
1.1 “COLLECTIVE MANAGEMENT ORGANIZATION” (“CMO”) shall be any
organization, operating within or outside the Philippines, which collects royalties
and/or licenses public performance, communication to the public, and/or other
rights on behalf of composers.
1.2 “COMPETITION” shall mean the song writing competition currently entitled “BINI
Verse and Chorus” organized by the Organizer.
1.3 ”COMPETITION COMMITTEE” shall mean the committee whose members are
designated by the Organizer at its sole and absolute discretion, who shall be tasked
to oversee the management, implementation, and submission of the Competition.
“CONTESTANT” shall mean an individual composer, songwriter, and/or lyricist, or
a group/collaboration of up to three (3) individual composers, songwriters, and/or
lyricists.
1.4 “CONTESTANT REPRESENTATIVE” shall have the meaning ascribed to it in
Section 4.1 hereof.
1.5 “DEADLINE” shall have the meaning ascribed to it in Section 7.2 hereof.
1.6 “EXTENDED DEADLINE” shall have the meaning ascribed to it in Section 7.2
hereof.
1.7 “ENTRY” shall mean both one (1) verse and one (1) chorus of a single unfinished
musical composition or musical work duly submitted by a Contestant and which
complies with the requirements in Section 4.1 to 4.4 hereof. For clarity, both the
verse and chorus shall be treated as a single Entry.
1.8 “FILIPINO CITIZEN” shall mean a natural-born or naturalized Filipino, or a person
of dual citizenship, one of which is Philippine citizenship, and those who have
retained or reacquired Philippine citizenship in compliance with Republic Act No.
9225.
1.9 “FINALS” shall mean the phase of the Competition after Phase 1, which shall
involve a song-writing camp to be organized by Organizer for purposes of
successfully finishing the musical composition.
1.10 “FINALISTS” shall mean the Entries declared by the Organizer as the Top Sixteen
(16) Entries in the Competition.
1.11 “ORGANIZER” shall mean the ABS-CBN Film Productions, Inc., its parent,
subsidiaries and affiliates, and its affiliates.
1.12 “OTHER PROOF OF IDENTIFICATION AND CITIZENSHIP” shall have the
meaning ascribed to it in Section 5.1.6 hereof.
1.13 “PHASE 1” shall mean the first phase of the Competition which shall conclude upon
the declaration of the Finalists.
1.14 “SCREENING COMMITTEE” shall mean the internal committee designated by the
Competition Committee at its sole and absolute discretion who shall be tasked to
screen the Entries and the selection and declaration of Finalists.
1.15 “SPONSORS” shall mean the organization/entity that provide official support by
way of financial contributions or allocations of resources equivalent to a specific
financial value for the Competition.
2. QUALIFICATIONS OF CONTESTANTS
2.1 The Competition is open to all Contestants (amateur or professional) worldwide who
and at least eighteen (18) years of age.
2.2 The Finalists shall be chosen from among the Entries by a panel of judges to be
designated at the sole and absolute discretion of the Organizer.
2.4 All employees of ABS-CBN FILM PRODUCTIONS, INC., their affiliates, the Sponsors
of the Competition, and their relatives up to the fourth civil degree of consanguinity
or affinity are not qualified to join the Competition.
3. NUMBER OF ENTRIES
A Contestant may submit a maximum of two (2) Entries, whether as an individual, as part of
a collaboration, or both.
4. ENTRY REQUIREMENTS
4.1 Each Entry must be an original work of the Contestant and all rights, including
copyright, to the entry must be owned and controlled exclusively by the Contestant.
If the Contestant is a group/collaboration of up to three (3) individual composers,
songwriters, and/or lyricists, the group/collaborators must nominate a single
representative from among the group/collaborators who shall be duly authorized to
represent the group/collaborators in the submission of the Entry (“Contestant
Representative”).
4.2 The following works shall not be eligible as an Entry in the Competition:
4.2.1 Those which have been previously published, recorded or released in any part
of the world;
4.2.2 Those which have been commissioned by a third party;
4.2.3 Those which are found to contain two (2) or more bars of melody or lyrics
similar to that of a published or released song worldwide; and
4.2.4 Any Entry which, in the sole and absolute determination of any of the
Organizers, is not suitable by reason of its content.
4.3 Lyrics of the Entry
4.3.1 The lyrics must be in Filipino, or any Philippine dialect, or entirely in English
or a combination of both Filipino and English;
4.3.2 If the lyrics include a word which does not have a general and accepted
definition, the Contestant must explain the meaning and basis for including
the word through a footnote in the lyric sheets; and
4.3.3 The lyrics shall not include words which are registered trademarks.
4.4 Form and Length of Entries
4.4.1 The melody and lyrics of an Entry, once submitted, shall be final and may not
be altered or modified prior to the declaration of Finalists. An Entry selected
as a Finalist may be modified only with the prior approval of the Organizer.
4.4.2 An Entry may consist of any musical arrangement, including acapella.
However, an Entry consisting of only instrumental composition/s is not
allowed.
4.4.3 Entries submitted to the Organizer shall not be returned to the Contestant.
4.5 The Screening Committee, at its sole discretion, may disqualify an Entry for its
failure to comply with any of the above requirements.
5. SUBMISSION OF ENTRIES
5.1 The Contestant must submit the following per Entry:
5.1.1 Accomplished entry form with complete personal data as required;
5.1.2 Lyrics of the verse and chorus;
5.1.3 Mp3 file of the musical composition;
5.1.4 Photo of the Contestant Representative; and
5.1.5 Scanned copy of the Contestant Representative’s valid passport or any Other
Proof of Identification and Citizenship (as defined below);
5.1.6 If passport cannot be provided, the following “Other Proof of
Identification and Citizenship” may be submitted as follows: (a) For
Filipino Citizens, the Birth certificate, Certificate of Dual Citizenship, or other
proof of Filipino Citizenship; (b) For foreign Contestants, any document of
citizenship issued by the relevant government office of the country where
said foreign Contestant is a citizen of with an Apostille Certificate issued by
the relevant government office of said country;
5.2 If the Contestant is composed of a group, all individual composers, writers, and/or
lyricists must sign on the Entry form.
5.3 Failure to comply with any of the above requirements shall be a ground for
disqualification at the sole discretion of the Organizer.
5.4 The Screening Committee shall check each Entry for compliance with the above
requirements and, in its sole discretion, may require other documents as needed.
5.5 The Contestant understands that the Entry/ies that he/she shall submit during Phase
1 shall be for and in consideration of being considered and/or having the opportunity
of being selected and declared as a Finalist and consequently having the opportunity
to participate in the Finals. The Contestant further acknowledges that no cash or
monetary prizes shall be awarded to the Contestants/Finalists for the Entry/ies
submitted and that if Contestant is not declared as a Finalist, the Contestant shall
lose the chance to participate in the Finals.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 All Entries are deemed to be the property of the respective Contestant/s, subject to
the rights of the Organizers hereunder.
6.2 ABS-CBN Film Productions, Inc. shall be the official music publisher for the
Competition.
6.3 In the event that an Entry is declared as a Finalist, the Contestant shall have the
opportunity to participate in the Finals which shall involve a song-writing camp to
be organized by the Organizer for purposes of successfully finishing the musical
composition based on the Entry at a venue, and during a date or period, and under
such terms and conditions to be determined by the Organizer. The failure or refusal
of a Finalist to participate in the Finals or execute any relevant agreements in order
for Finalist to be able to fully participate in the Finals shall be a ground for
disqualification. Furthermore, a Contestant declared as a Finalist who is not a Filipino
Citizen must possess and/or secure a valid work visa and all permits necessary and
appropriate issued by the relevant government office (such as the Department of
Labor and Employment, Bureau of Immigration and any other relevant government
office) to participate in the Finals, at his/her own cost and expense.
7. CRITERIA AND SCREENING
7.1 The Competition Committee shall choose the members of the Screening Committee
who shall check and verify all Entries and declare the Finalists. The selection of the
Finalists shall be made by the Screening Committee on such criteria as it shall
determine in its sole and absolute discretion, which may be subjective. The
Screening Committee may select Finalists based on the following criteria:
Melody - 30%
Lyrics - 30%
Musicality/Artistry/Creativity - 25%
Over-all Impact - 15%
Total = 100%
The decisions of the Screening Committee shall be final and unappealable.
7.2 The Organizers and/or the Competition Committee, in its sole discretion, may decide
on the number of screening stages, the periods of submission of Entries (the
“Deadlines”), the additional extended period for submission of Entries (if any)
under Section 7.5 hereof (the “Extended Deadline”) and the composition or
appointment of the Screening Committee. The Organizers and/or the Competition
Committee in its sole discretion, may appoint an independent auditing firm to
monitor the screening procedures of the Competition.
7.3 The Finalists shall be informed of their selection and shall be required to execute
any and all relevant agreements to be required by the Organizer for purposes of the
Finalists’ participation in the Finals.
7.4 In the event that no Finalist is chosen, or less than sixteen (16) Finalists are chosen
from among the Entries submitted before the Deadline, the Competition Committee
shall have the right to extend the deadline for submission or call for the submission
of additional Entries. The Screening Committee shall select the rest of the Finalists
only from among the additional entries for each extended period. A Contestant who
has previously submitted an Entry to the Competition may still submit an Entry
during the Extended Deadline; provided, a Contestant who has already submitted
two (2) Entries to the Competition at any given time shall no longer be eligible to
submit new Entries for the Extended Deadline regardless if the previous Entries were
not declared Finalists.
8. DISQUALIFICATION
8.1 An Entry or Contestant may be disqualified for:
8.1.1 Failure to comply with or violation of Sections 4, 5, 6 or 8 hereof;
8.1.2 Failure of the Entry or Contestant to comply with any of the requirements of
these Terms and Conditions or breach of the warranties provided in Section
9 hereof.
8.1.3 In case of a group/collaboration, all members and Entry/ies may be
disqualified even if only one (1) of the individual composers, songwriters, or
lyricists has been disqualified or has committed a violation warranting
disqualification.
8.2 The Organizers shall have the sole discretion to disqualify an Entry or a Contestant.
9. WARRANTIES
9.1 Contestant warrants and represents that Contestant is under no disability, restriction
or prohibition, to consent to the Terms and Conditions of the Competition.
9.2 The Contestant warrants that the Entry/ies submitted by him/her/them are
his/her/their sole and original work, and that there are no adverse claims to or in said
musical composition/s. The Contestant further warrants that neither the musical
composition nor any part thereof infringes upon the literary, musical, personal, or
property rights of any person or entity.
9.3 Contestant agrees to fully indemnify, save and hold the Organizers, its affiliates and
subsidiaries, their directors, officers, stockholders, employees, licensees and assigns,
the members of the Competition Committee, the members of the Screening
Committee (“Indemnified Parties”), free and harmless from any and all damages
arising out of, or in connection with, any claim by a third party that is inconsistent
herewith. In the event that a claim, suit, or action is brought against the Indemnified
Parties, it shall notify Contestant thereof and shall allow Contestant to participate in
the defense thereof. Contestant shall fully reimburse all expenses incurred by the
Indemnified Parties for any and all damages it may be required to pay by reason
thereof.
9.4 Should the infringement be proven, the Contestant shall return any and all prize
monies paid to him/her/them, if any, with interest thereon at the legal rate until fully
paid. Should it be proven that the infringement is willful, only the Contestant shall be
liable for actual and exemplary damages, including attorney's fees.
9.5 The Indemnified Parties shall not be liable for any claim by any third party in
connection with the ownership of copyright to an Entry submitted by a Contestant to
the Competition.
10.ACCEPTANCE AND CONFORMITY
10.1 All Contestants submitting an Entry to the Competition are deemed to have accepted
and consented to the Terms and Conditions of the Competition, and agree to abide
hereby.
10.2 Contestant agrees that the Organizers reserves the right to, at any time, and at its
sole discretion, change, add to, delete from, modify or amend the Terms and
Conditions affecting the Competition, or any part thereof, including, but not limited
to the grounds for disqualification from the Competition, the rules and guidelines
for the screening and selection of Entries, the declaration of Finalists, and the
granting of any prize.
11.DATA PRIVACY
11.1 ABS-CBN Film Productions, Inc., its subsidiaries and affiliates (collectively, the
"Organizers") shall be the data controller for the personal data collected from Contestants
in connection with the Competition.
11.2 In order to process your Entry and administer the Competition, the Organizers will
collect the following personal data, as detailed in Section 5 (Submission of Entries):
11.2.1 Personal data provided in the accomplished entry form (which may include
name, email address, contact, home address, gender, birthday, citizenship and
proof of citizenship.)
11.2.2 Lyrics of the musical composition.
11.2.3 Photograph of the Contestant, or the Contestant Representative of a
group/collaboration.
11.2.4 Scanned copy of passport or any other proof of identification and citizenship.
11.2.5 If passport cannot be provided, the Other Proof of Identification and
Citizenship as defined in Section 5.1.6 above.
11.3 The personal data collected from Contestants will be processed for the following
legitimate purposes:
11.3.1 To verify the identity and eligibility of the Contestant to participate in the
Competition.
11.3.2 To process and evaluate the submitted Entries.
11.3.3 To communicate with Contestants regarding their participation in the
Competition, including notifications about the Songwriting Camp, finalist
status, and competition updates.
11.3.4 To announce the names and potentially photographs of finalists and winners
through social media platforms like X, Youtube, Tiktok, Meta (Facebook and
Instagram), and other various media.
11.3.5 To facilitate the execution of the Exclusive Publishing Agreement with Finalists.
11.3.6 For the administration and management of the Competition, including the
screening and judging processes.
11.3.7 For archival and record-keeping purposes related to the Competition.
11.3.8 For promotional and marketing activities related to the Competition and future
similar events by the Organizers, with the explicit consent of the Contestant,
where required by law.
11.4 By submitting an Entry to the Competition, the Contestant hereby gives their free,
specific, informed, and unequivocal consent to the collection, processing, storage, and
use of their personal data by the Organizers for the purposes outlined in Section 11.3.
Where sensitive personal information is collected (such as government-issued IDs,
gender, age, citizenship and proof of citizenship), the Contestant provides their explicit
consent to its processing for the aforementioned purposes. Contestants have the right
to withdraw their consent at any time by notifying the Organizers in writing, without
affecting the lawfulness of processing based on consent before its withdrawal.
However, withdrawal of consent may result in the inability of the Organizers to continue
processing the Entry, and the Contestant's disqualification from the Competition.
11.5 The personal data collected from Contestants may be shared with the following
recipients, as necessary for the purposes outlined in Section 11.3:
11.5.1 The members of the Screening Committee and the Board of Judges for the
purpose of evaluating Entries.
11.5.2 Third-party service providers engaged by the Organizers to assist in the
administration of the Competition (e.g., platform providers, communication
services). These providers will be contractually bound to protect your personal
data in accordance with the Philippine Data Privacy Act of 2012 (DPA).
11.5.3 The Digital Publisher for the purpose of online publication and promotion of
the Competition and its participants.
11.5.4 Sponsors of the Competition, but only to the extent necessary and with
appropriate safeguards.
11.5.5 Government authorities or regulatory bodies when required by law or legal
process.
The Organizers will not sell or rent your personal data to third parties for their own
marketing purposes without your explicit consent.
11.6 The Organizers will implement reasonable and appropriate organizational, physical, and
technical security measures to protect the personal data of Contestants against
unauthorized access, use, disclosure, alteration, or destruction. These measures will
be regularly reviewed and updated to ensure the security and confidentiality of your
personal data.
11.7 The personal data of Contestants will be retained only for as long as necessary to fulfil
the purposes for which it was collected, or as required by applicable laws and
regulations. Personal data related to winning Entries and Finalists may be retained for
a longer period for archival and historical purposes, subject to applicable data retention
policies.
11.8 Under the Data Privacy Act of 2012, Contestants have the following rights with respect
to their personal data:
11.8.1 Right to be informed: To be informed whether personal data pertaining to
them shall be, are being, or have been processed.
11.8.2 Right to access: To reasonable access to, upon demand, the following:
(i) contents of their personal data that were processed;
(ii) sources from which personal data were obtained;
(iii) names and addresses of recipients of the personal data;
(iv) manner by which such data were processed;
(v) reasons for the disclosure of personal data to recipients;
(vi) date when their personal data concerning them were last accessed and
modified; and
(vii) the designation, or name or identity and address of the data controller.
11.8.3 Right to rectification: To demand the correction of their personal data if it is
inaccurate.
11.8.4 Right to erasure or blocking: To suspend, withdraw or order the blocking,
removal or destruction of their personal data from the data controller’s filing
system upon discovery and substantial proof that the personal data are
incomplete, outdated, false, unlawfully obtained, used for purposes not
authorized by the data subject, are no longer necessary for the purposes for
which they were collected, the data subject has withdrawn consent or objected
to the processing, and there is no other legal ground or overriding legitimate
interest for the continued retention of the personal data.
11.8.5 Right to object: To object to the processing of their personal data under
certain circumstances.
11.8.6 Right to data portability: To obtain from the data controller a copy of data
undergoing processing in an electronic or structured format that is commonly
used and allows for further use by the data subject.
11.8.7 Right to file a complaint: To file a complaint with the National Privacy
Commission if they believe that their rights under the Data Privacy Act have
been violated.
To exercise any of these rights, Contestants may contact the Organizers through the
contact information provided in the official Competition materials.
11.9 Contact Information: For any inquiries, requests, or concerns regarding the
